CROWDFUNDING TERMS AND CONDITIONS

These Crowdfunding Terms and Conditions (the “Agreement”) constitute a legally binding agreement between Cathedral Hill Productions (the “Company”) and each individual or entity who contributes funds to the crowdfunding campaign (each, a “Backer” or “Contributor”) for the motion picture currently entitled “Escape” (the “Film”). By contributing to the campaign, the Backer agrees to be bound by these terms.
- NATURE OF CONTRIBUTION AND NON-EQUITY STATUS
All funds contributed by the Backer to the Company’s crowdfunding campaign are voluntary support-based donations intended to facilitate the development, production, and distribution of the Film. The Backer explicitly acknowledges and agrees that:
a) Financial Return: Contributions do not constitute an investment, loan, or purchase of securities. Backers shall have no right to, and shall not receive, any financial returns, profit participation, revenue sharing, residuals, or commercial distributions from the Film.
b) No Ownership: Backers do not acquire any equity, shares, ownership interests, or voting rights in the Company, the Film, or any associated intellectual property or corporate entities.
- INTELLECTUAL PROPERTY AND CREATIVE CONTROL
- a) Absolute Company Control: The Company retains absolute, exclusive, and unencumbered creative, artistic, and operational control over all aspects of the Film, including but not limited to script modifications, casting, directing, editing, distribution strategies, marketing, and final cut decisions.
b) No Backer Approvals: Backers have no right to review, approve, modify, or veto any creative or corporate decisions regarding the Film.
c) Backer Submissions: In the event that a Backer provides suggestions, comments, or ideas regarding the Film, the Backer hereby assigns all intellectual property rights in such feedback to the Company without any expectation of compensation or attribution. - RISK OF PRODUCTION AND CAMPAIGN PERKS
- a) Inherent Production Risks: The filmmaking process involves substantial logistical, creative, financial, and regulatory risks. The Company will use its best commercial efforts to complete and release the Film, but cannot guarantee completion, standard theatrical release, distribution on specific platforms, or a definitive delivery timeline.
b) Perk Delivery: Campaign rewards and perks (e.g., digital copies, physical merchandise, set visits, or on-screen credits) are subject to production constraints and scheduling. The Company reserves the right to modify, substitute, or replace any perk with an equivalent alternative if the original perk becomes impracticable to fulfill. - NON-REFUNDABLE FUNDS AND REFUND POLICY
- a) Immediate Deployment: Contributed funds are deployed immediately toward pre-production, production, overhead, or platform-related expenses. Consequently, all contributions are strictly non-refundable.
b) No Chargebacks: The Backer agrees not to initiate chargebacks or disputes through their payment processor, bank, or the crowdfunding platform, acknowledging that all contributions are final upon processing. - GOVERNING LAW AND JURISDICTION
This Agreement, its interpretation, and any disputes arising out of or in connection with the campaign or the Film shall be governed by, construed, and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to principles of conflicts of law. The Backer agrees to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada for the resolution of any legal proceedings.
